Merchant Services Agreement
Version 2026-10-draft-2
Draft for legal review. This agreement must be finalised by a qualified Australian lawyer, alongside the terms of Qrisp's licensed payments partner, before Qrisp accepts live payments.
1. Who this agreement is between
This agreement is between Qrisp ("we", "us") and the business named in your Qrisp account ("you"). The person accepting it confirms they are authorised to bind the business.
2. What Qrisp provides
- Software to create QR codes, payment links and invoice links for your business.
- A hosted checkout page that shows customers your verified business name and the amount to pay.
- A dashboard showing your payments, fees and refunds, with CSV exports.
- Arrangement of payment processing through our licensed payments partner, using PayTo and the New Payments Platform (NPP).
Qrisp does not hold your funds or your customers' funds. Payments are processed by our payments partner and paid to the business bank account you nominate and we verify.
3. Your account and verification
- You must give us true, complete and current information about your business, its directors and its beneficial owners, and tell us within 10 business days if anything changes.
- We will verify your business, its people and your bank account as Australian anti-money-laundering and counter-terrorism financing law requires. We may use automated tools, including AI, to help review applications, but a person makes every decision to decline or close an account. We may ask for more information at any time.
- You may only take payments after we approve your account. We may decline an application without giving reasons where the law allows.
4. Taking payments
- Display only QR codes issued to your business through your Qrisp account.
- Check printed codes regularly, and switch off any code that is lost, damaged or may have been tampered with.
- Only take payments for genuine sales of goods or services by your business, and never for a business on our prohibited list (see the Acceptable Use Policy).
- Do not split one sale into several payments to avoid limits or fees.
- Provide receipts and tax invoices to your customers as the law requires.
5. Fees
- You pay the transaction fees shown on qrisp.com.au/pricing at the time of each payment. There is no monthly or subscription fee.
- Fees are calculated per payment and shown in your dashboard. They are collected monthly in arrears through the PayTo agreement you approve during onboarding (see the PayTo Payment Agreement).
- We will give you at least 30 days' notice of any fee increase. You may close your account without charge before the increase takes effect.
- Unless we say otherwise, fees exclude GST. GST will be added where it applies.
6. Refunds and disputes
- You may refund a payment in full or in part from your dashboard. Refunds are paid from your nominated account through the PayTo agreement.
- Fees on refunded payments are not returned.
- If a customer disputes a payment with their bank, you must cooperate with us and our payments partner and provide records within 5 business days of a request.
- You remain responsible to your customers under the Australian Consumer Law for the goods and services you sell.
7. Security and fraud
- Keep your login details secure, use two-step sign-in, and tell us immediately if you suspect unauthorised access.
- We may delay, block or reverse a payment, or suspend your account, where we reasonably suspect fraud, a scam, a breach of this agreement or a breach of the law, or where our payments partner or a regulator requires it.
8. Privacy and data
We handle personal information in line with our Privacy Policy and the Privacy Act 1988 (Cth). You must handle any customer information you receive through Qrisp in line with the privacy laws that apply to you.
9. Term and closing your account
- This agreement starts when you accept it and continues until either of us ends it.
- You may close your account at any time from your dashboard, with no exit fee. Fees already incurred remain payable.
- We may end this agreement with 30 days' notice, or immediately if you seriously breach it or the law requires.
- We must keep certain records for 7 years after the relationship ends, as anti-money-laundering law requires.
10. Liability
- Nothing in this agreement excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot be excluded.
- Subject to clause 10.1, the limits of each party's liability will be set out in the final agreement. [To be completed by counsel.]
11. Changes to this agreement
We may change this agreement by giving you at least 30 days' notice. Each version has a version number, and your dashboard records which version you accepted and when.
12. General
